Job Description Secretarial:
A) Co-ordinate all arrangements for meetings of the Board / General Meeting and management committees.
B) Ensure that minutes of the meetings are accurately recorded and circulated.
C) Inform the Board and management committees on all statutory and constitutional requirements to ensure that business is conducted in a proper and effective manner.
D) Circulate decisions of the Board and committees to all relevant parties and take any necessary follow-up action to record progress on these.
E) Prepare the returns and records required by statues to ensure that the organization conducts its business in a legal and proper manner.
F) Comply with RBI, Company Law, FEMA and other applicable rules and regulations.
A) Draft agreements and memorandum of Understandings (MOU).
B) Vet the agreements/MOUs drafted by other Counsel/s.
C) Monitor and co-ordinate with Lawyers regarding cases pending in various Courts.
D) Advise the management on legal compliance matters.
E) Advice various department/s and branch offices as and when sought.
F) Represent the Company in various Courts/authorities.
G) Advise on arbitration proceedings and keep close liaison between the company and legal consultants.
A. Take the lead in implementing the internal compliance policies in the Company, through trainings, e-learning sessions and other similar means
B. Drafting, review or vetting of compliance policies in accordance with Indian laws and oversee implementation of the same.
C. Conducting training sessions on various compliance initiatives
D. Carrying out investigations with respect to complaints / allegations of violation of any compliance policy or any non-compliance.
Desired Profile Education-
- LLB Law
Membership of Institute of Company Secretaries of India.
