Job Description

The job holder will be accountable for drafting and negotiating contracts for Performance Materials and Technologies SBG in respect of business conducted primarily in USA, EMEA and India and to a lesser extent in South East Asia. The role will include responsibility for the following:
Demonstrates skills in negotiating complex terms and conditions, performing risk analysis/ mitigation, developing alternate language and providing actionable recommendations, in each case, working in close coordination with the cognizant senior attorney(ies) and management to ensure that non-standard terms and conditions are properly reviewed and approved in accordance with policies and procedures.
Extensive interactions with customers and prospective customers (alongside sales and business personnel) in contracts discussions and negotiations.
Significant commercial contracting experience with an emphasis on IP and commercial transactions with the proven ability to accurately translate complex contractual issues into easily understood summaries and solutions.
Works closely with sales, sales support, business leaders, program management, finance, tax and compliance, among others, to ensure a cohesive team.
Identifies and mitigates risks connected with non-standard conditions and customer direct changes in proposed contractual documents; Communicates concerns and issues clearly to the organization; Advises internal clients (sales/ business managers) concerning legal and contractual requirements.
Develops and maintains strong working relationships primarily with assigned customers, and stakeholders within organization ensuring high customer satisfaction.
Ensures compliance with corporate policies and procedures applicable to contracting and contract management.
The role will require substantial interaction with international lawyers, Sales, Business and Technical personnel who work in PMT business. The candidate will report to Sharad Sharma (Regional General Counsel - PMT). The candidate needs to be a self motivating person, have a good commercial attitude, the ability to identify and manage risk and need to work with only the minimum of supervision.
Minimum Position Requirements (Education, Work Experience, etc.):
The individual will be a qualified lawyer with experience of commercial and corporate law and practice in India, with a multinational corporation (experience with a major law firm with be an added advantage). Approximately 7 years of post-qualification experience (stability in career profile is a must). Company Secretarial (ACS/FCS) or international law qualification will be an added advantage.
Must have working knowledge of corporate and commercial law and experience in negotiating and drafting complex commercial and IP agreements (e.g. for sales or supply, technology licensing, alliances, services, non-disclosure, joint development agreements to a broad array of customers; also includes negotiations with distribution, sales representative/agency). This role will also support PMTs law department initiatives as needed. Working experience of M&A including integration will be an added advantage.
Excellent English writing and speaking skills
Ability to respond to requests at short notice and willing to stretch
Willingness to adjust work day to fit United States time zones (preferably 11am-8pm)
Willingness to travel with other members of the local sales /business team in furtherance of business objectives (travel assumed at 10% of the time).
