Job Description:

This role is for diligently supporting various M&A activities and consistently meeting deadline on client work and varied internal assignments.
Candidates having similar experience as stated above or experience in any of the facet of the M&A (like due diligence, valuation or CF), mostly in a reputed consulting firm or an Investment Bank will be preferred.
Undertaking detailed financial due diligence and desktop review of company's operations Preparation, development and validation of business plans for the purpose of undertaking DCF valuation.
Undertaking valuation for purpose of commercial negotiations during a transaction (buy side / sell side), restricting etc
Undertaking valuation for regulatory purposes and tax litigation defense purposes
Developing financial models for forecasting and evaluating cash flows, growth, return on investments, payback period
Advising on various aspects of transactions (but side/ sell side) from a regulatory and tax perspective
On-call advisory support to client on various regulatory, tax, accounting and valuation matters
Assistance in preparation of regulatory filings to Reserve Bank of India (RBI) and corporate law authorities
Assistance in preparation and submission of application for seeking clarifications/ approvals from Foreign Investment Promotion Board (FIPB), Department of Industrial Policy and Promotion (DIPP), RBI
Assistance in review and preparation of Transaction Agreements such as MoU, Share Purchase Agreement, Joint Venture Agreement, Licensing agreements etc
Assistance in preparation and submission of application for Company incorporation, setting up Foreign companys Liaison Office, Branch Offices and advising / assisting such new set ups in operationalization such as obtaining direct tax, indirect tax and labour law registrations, Stamp duty payment, Opening demat account, preparation of initial corporate law records etc
Advising on various investment instruments, available for investment by foreign entity in an Indian company, from a tax regulatory perspective
Preparation of high level presentations on various industries, competitive landscape, researching and identified potential acquisition targets
Approached identified targets to gauge their willingness for a strategic alliance and facilitating client meetings and negotiations
Assistance in valuation negotiations for acquisition of majority stake
Profiling Indian industries - developed pitch books and information decks
The job holder will be working individually or with a team of 1 or 2 Associates, depending on the nature of the assignment.

Educational Qualification:

B.Com/M.Com- CA Must
